Terms of Service

The terms governing access to and use of Quodra.

1. Agreement to These Terms#

These Terms of Service ("Terms") govern your access to and use of Quodra's websites, applications, playgrounds, presentation tools, collaboration functionality, computational features, AI features and related services (collectively, the "Service").

These Terms are entered into with Quodra ("Quodra," "we," "us," or "our").

By creating an account, accessing the Service or otherwise using Quodra, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

If you use Quodra on behalf of a company, university, school, research institution or other organization, you represent that you have authority to bind that organization where applicable. In that case, "you" may include that organization.

Additional terms may apply to enterprise, educational, institutional or paid services.

2. What Quodra Provides#

Quodra is an interactive platform designed to help people create, communicate, compute, visualize, collaborate on and present technical and scientific information.

Depending on the version of the Service, functionality may include:

• presentations;
• mathematical expressions;
• equations;
• charts;
• executable code;
• Python computation;
• circuits;
• engineering diagrams;
• scientific objects;
• molecular or materials-related visualizations;
• interactive parameters;
• simulation;
• whiteboards;
• speaker tools;
• presentation mode;
• collaboration;
• AI-assisted functionality; and
• other technical communication tools.

Features may change as the Service evolves. Quodra is in beta, and access to features such as Canvas and Matter Lab may vary by account and deployment. Current AI-assisted workflows use external clients that you connect through MCP; Quodra does not currently provide built-in model inference.

3. Eligibility and Age#

You must be at least 13 years old to create an individual Quodra account.

If you have not reached the age at which you can independently enter into these Terms in your jurisdiction, you may use Quodra only with authorization from a parent, legal guardian, school or other party authorized to provide that permission.

Quodra is not intended for ordinary direct use by children under 13 through individual accounts.

Institution-managed accounts may be subject to separate requirements.

4. Accounts#

Some functionality requires an account.

You agree to:

• provide accurate account information;
• keep information reasonably current;
• maintain the security of your credentials;
• not share authentication credentials in an unauthorized manner;
• promptly notify us of suspected unauthorized access; and
• accept responsibility for activity occurring through your account to the extent permitted by law.

You may not impersonate another person or create an account through deceptive means.

5. Workspaces and Organizations#

Quodra may allow accounts to belong to a workspace, university, company, research group or other organization.

Workspace administrators may be able to:

• invite and remove users;
• manage permissions;
• manage workspace content;
• configure features;
• control sharing;
• access administrative information; and
• manage organization-owned accounts.

If you use an organization-managed account, the organization's own policies and agreements may also apply.

6. Your Content#

As between you and Quodra, you retain ownership of the User Content that you create or upload to Quodra.

"User Content" includes content such as:

• presentations;
• text;
• equations;
• code;
• charts;
• datasets;
• circuits;
• technical diagrams;
• scientific objects;
• models;
• images;
• files;
• speaker notes;
• annotations;
• comments;
• whiteboards;
• configurations; and
• other content submitted to the Service.

Using Quodra does not transfer ownership of your User Content to Quodra.

7. License Needed to Operate Quodra#

You grant Quodra a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, format and otherwise use your User Content only as reasonably necessary to:

• provide the Service;
• perform actions you request;
• enable collaboration and sharing;
• operate presentation functionality;
• perform computations;
• maintain and secure the Service;
• create backups;
• troubleshoot technical problems; and
• comply with law.

This license exists so Quodra can technically operate the Service.

It does not transfer ownership of your User Content to Quodra.

The license ends when the relevant content is deleted from the Service, subject to reasonable backup, security and legal-retention periods and any content that another authorized user continues to possess independently.

8. Your Responsibility for Content#

You represent that you have the rights and permissions necessary to upload and use your User Content through Quodra.

You must not upload or use content in a way that:

• infringes another person's intellectual-property rights;
• violates confidentiality obligations;
• unlawfully discloses personal information;
• violates applicable law; or
• otherwise violates these Terms.

If your content includes data about another person, you are responsible for having an appropriate legal basis or permission to process that information through Quodra.

9. Collaboration and Sharing#

Quodra may allow you to invite collaborators, create sharing links or publish presentations.

You are responsible for selecting appropriate sharing permissions.

Depending on the settings you choose, other people may be able to:

• view;
• copy;
• edit;
• comment on;
• present; or
• redistribute content.

A link should be treated as potentially accessible to anyone who receives it unless Quodra explicitly indicates stronger access restrictions.

If you deliberately make content public, you authorize Quodra to display and distribute that content according to the public-sharing functionality you selected for as long as it remains public.

Do not publicly publish confidential information unless you are authorized and intend for it to become public.

10. Acceptable Use#

You may use Quodra for lawful educational, scientific, engineering, professional, research, creative and commercial purposes, subject to these Terms.

You must not:

• violate applicable law;
• infringe intellectual-property rights;
• impersonate another person;
• distribute malware;
• attempt unauthorized access to accounts or systems;
• interfere with or disrupt the Service;
• bypass technical limitations or access controls;
• probe or exploit Quodra infrastructure except through an authorized security-testing program;
• use the Service to facilitate fraud;
• use Quodra infrastructure to attack third-party systems;
• deliberately overload computational resources;
• abuse code-execution environments;
• attempt to obtain other users' private content without authorization;
• automate access in a way that materially harms the Service;
• scrape private information;
• circumvent usage or billing limitations;
• use Quodra to distribute unlawful content; or
• help another person perform prohibited conduct.

Good-faith security research conducted under an authorized Quodra security program is not prohibited by this section.

11. Computation, Simulations and Technical Outputs#

Quodra may execute or display:

• mathematical calculations;
• Python code;
• equations;
• circuit simulations;
• electrical readings;
• charts;
• engineering models;
• scientific visualizations;
• parameterized systems;
• generated code;
• simulations; and
• other technical outputs.

These tools are intended to assist technical communication, experimentation, analysis and education.

Although Quodra aims to provide accurate and reliable functionality, technical outputs may contain errors, numerical limitations, software defects, incorrect assumptions or incomplete information.

You are responsible for verifying outputs when accuracy matters.

You must not rely solely on Quodra as the final authority for decisions involving:

• life safety;
• medical treatment;
• clinical decisions;
• critical infrastructure;
• hazardous laboratory operations;
• high-voltage systems;
• aviation;
• transportation safety;
• structural safety;
• industrial safety;
• nuclear systems;
• weapons;
• or other circumstances where an incorrect result could reasonably cause death, serious physical injury or major property or environmental damage.

Quodra is not a substitute for professional review, testing, measurement, engineering validation, scientific verification or compliance with applicable standards.

12. Code Execution#

Quodra may allow you to execute code.

Code execution may occur locally in your browser, in an isolated environment or through other computational infrastructure depending on the feature.

You are responsible for code you intentionally execute or provide.

You must not use Quodra's computational environments to:

• attack systems;
• deploy malware;
• mine cryptocurrency without express authorization;
• perform denial-of-service activity;
• access unauthorized data;
• evade security controls;
• establish unauthorized persistent infrastructure; or
• conduct other abusive activity.

Quodra may impose computational, storage, runtime or networking limits to protect users and the Service.

13. Artificial Intelligence Features#

This section applies to AI-assisted work, including work created through external AI clients connected to Quodra.

AI tools may generate:

• text;
• code;
• equations;
• explanations;
• presentation content;
• recommendations;
• transformations;
• technical suggestions; or
• other output.

AI-generated output may be:

• incorrect;
• incomplete;
• outdated;
• misleading;
• non-unique; or
• unsuitable for your intended use.

You are responsible for reviewing AI output before relying on, publishing or presenting it.

You should independently verify consequential scientific, mathematical, engineering or professional information.

Quodra does not claim ownership of your original User Content merely because it is processed by an AI feature.

Quodra does not use your non-public User Content to train general-purpose Quodra AI models unless you expressly opt in to such a program.

Current AI-assisted workflows use an external client and model provider that you choose and connect through MCP. Quodra does not currently provide built-in model inference. Your provider's processing is subject to your relationship with that provider; Quodra's handling of authorized MCP requests is described in our Privacy Policy and Subprocessors information.

14. Intellectual Property in Quodra#

Except for User Content and third-party material, Quodra and its associated:

• software;
• interface;
• visual systems;
• design;
• components;
• trademarks;
• branding;
• documentation;
• proprietary scientific interfaces;
• computational systems; and
• other platform technology

are owned by Quodra or its licensors and are protected by applicable intellectual-property laws.

These Terms give you permission to use the Service.

They do not transfer ownership of Quodra's underlying technology to you.

15. Feedback#

We welcome ideas, suggestions and feedback.

If you voluntarily provide feedback about Quodra, you grant us permission to use that feedback without restriction or compensation to improve, develop and commercialize Quodra.

This provision does not give Quodra ownership of presentations, research or other User Content merely because you submit it through the Service.

16. Third-Party Services#

Quodra may integrate with or link to third-party products.

We do not control independent third-party services.

Your use of them may be governed by their own terms and privacy policies.

Quodra is not responsible for third-party services except to the extent required by applicable law or an agreement expressly entered into by Quodra.

17. Beta, Preview and Experimental Features#

Some Quodra functionality may be identified as:

• beta;
• preview;
• experimental;
• early access;
• playground; or
• similar terminology.

These features may:

• change substantially;
• contain defects;
• have limited availability;
• produce unexpected results; or
• be discontinued.

You should not rely on experimental features as the sole repository for critical information.

Where reasonably possible, maintain independent copies of important work.

18. Service Changes#

Quodra is an evolving product.

We may add, modify, limit or discontinue functionality.

Where a change materially affects a paid service or users' rights, we will provide notice where reasonably appropriate or legally required.

We will make reasonable efforts to avoid unnecessarily disrupting access to User Content.

19. Plans, Payments and Refunds#

Plans. Quodra offers a Free plan and paid plans (at the time of writing, Academic, Pro and Teams). What each plan includes, its price, its billing period and how it renews are shown on our pricing page and at checkout before you buy. Plan features and limits may change as the Service evolves, subject to the notice we describe below.

The Free plan. The Free plan costs nothing and has no trial clock. We will not charge a payment method unless you buy a paid plan.

Merchant of record. Paid plans are sold through Paddle (Paddle.com Market Limited and its affiliates), our merchant of record and reseller. When you buy a paid plan, the contract of sale for that purchase is with Paddle: Paddle charges your payment method, applies tax, issues your invoice and processes refunds. Paddle's Checkout Buyer Terms and Refund Policy apply to the purchase alongside this section. If they and this section differ, whichever gives you more applies.

Billing and renewal. Paid plans are subscriptions. Unless you cancel, your subscription renews automatically at the end of each billing period, monthly or yearly as you chose, and your payment method is charged the then-current price of your plan, subject to the notice of price changes below. You agree to provide accurate billing information and to keep your payment method valid.

Taxes and currency. Prices are shown in US dollars unless the checkout shows your local currency. Where the law of your country expects prices to include tax, the price shown includes it; elsewhere tax is added at checkout. Your invoice shows the tax applied.

Founding prices. A founding price is a promotional price available while the offer is open. It is protected for your first three years for as long as your subscription stays continuously active. The founding price ends if your subscription is cancelled, lapses because a payment fails or is changed to another plan; a new subscription is then charged the regular price. Founding prices cannot be transferred to another account.

The Academic plan. The Academic plan is for students, researchers and educators at recognised institutions and requires verification. We may check eligibility again. If you no longer qualify, we will tell you, and we may move your account to a plan you are eligible for at your next renewal.

Cancelling. You can cancel a paid plan at any time from Plans and billing in the app. Cancellation takes effect at the end of the billing period you have already paid for: you keep your paid features until then, you are not charged again, and your account then returns to the Free plan with your content intact, subject to the Free plan's limits. Deleting your account also ends any subscription.

Refunds. Except where this section or the law says otherwise, payments are non-refundable. We do not give refunds or credits for a partly used billing period, for a downgrade, or for time in which you did not use the Service.

• Cooling-off period. If you are a consumer in the European Economic Area, the United Kingdom or another country whose law gives you a right to withdraw from a purchase, you may withdraw within 14 days of your first payment for a plan without giving a reason and receive the refund the law provides. Where the law allows, the refund is reduced in proportion to the days of service you have already received.
• Our mistakes. If we charge you by mistake, we will refund the charge.
• Statutory rights. Nothing in this section limits refund or cancellation rights that the law of your country gives you and that cannot be waived.
• Abuse. A refund may be refused where there is evidence of fraud or of abuse of refunds.
• How to ask. Ask through the link in your Paddle receipt or at paddle.net, or write to hello@quodra.app and we will pass your request to Paddle. Refunds go back to the payment method you used.

Price changes. We may change our prices. If we increase the price of your plan, we will give you at least 30 days' notice by email or in the app, and the new price applies from your first renewal after that notice, so you can cancel first. A founding price is not increased while its protection lasts.

Plan changes. You can change plan or billing period in the app. Before you confirm a change, you are shown how it is charged, for example whether an upgrade is charged now for the rest of the period and a downgrade applies at the next renewal.

Failed payments. If a payment cannot be completed, it may be retried. If it still fails, we may move your account to the Free plan or suspend paid features until the payment is settled. Your content remains yours and available to export.

Discontinuation. If we discontinue a paid plan or the paid Service, we will give you notice and refund the unused part of any billing period you have paid for, unless we move you to an equivalent or better plan at no extra cost.

Organizations and institutions. Teams, campus and institutional licences may be governed by their own written terms. Where those terms conflict with this section, the written agreement controls.

20. Intellectual-Property Complaints#

We respect intellectual-property rights.

If you believe content available through Quodra infringes your rights, contact Quodra at hello@quodra.app and provide sufficient information for us to evaluate the claim.

We may remove or restrict allegedly infringing content when appropriate.

Repeated infringement may result in account restrictions or termination where appropriate.

21. Privacy#

Our Privacy Policy explains how personal information is collected and processed.

By using Quodra, you acknowledge the Privacy Policy.

Where applicable, certain processing activities may require separate consent.

22. Suspension and Account Restrictions#

We may restrict or suspend access where reasonably necessary to:

• protect the Service;
• prevent abuse;
• investigate security incidents;
• comply with law;
• address material violations of these Terms;
• prevent harm to other users; or
• address unpaid amounts for paid services.

Where circumstances permit, we will attempt to provide notice and an opportunity to resolve the issue.

Serious security, legal or abuse situations may require immediate action.

23. Termination#

You may stop using Quodra at any time.

Where account deletion is available, you may request or initiate deletion through the Service.

We may terminate an account for serious or repeated violations of these Terms or where legally required.

After termination, provisions that by their nature should survive will remain effective, including provisions relating to:

• ownership;
• accrued payment obligations;
• disclaimers;
• limitations of liability;
• disputes; and
• legal rights and obligations.

24. Data After Account Closure#

When an account is deleted, Quodra will handle associated personal information in accordance with the Privacy Policy.

You are responsible for exporting important User Content before intentionally deleting an account when export functionality is available.

Certain information may remain temporarily in secured backups or be retained where required for legal, security, fraud-prevention or dispute-resolution purposes.

25. Service Availability#

We aim to provide a reliable Service, but Quodra may occasionally be unavailable because of:

• maintenance;
• upgrades;
• infrastructure failures;
• internet outages;
• security incidents;
• third-party service disruptions;
• force majeure events; or
• circumstances outside our reasonable control.

Unless a separate service-level agreement expressly applies, we do not guarantee uninterrupted availability.

26. Disclaimer of Warranties#

To the maximum extent permitted by applicable law, Quodra is provided "as is" and "as available."

We do not warrant that:

• every feature will always be available;
• the Service will be uninterrupted or error-free;
• all technical calculations will be correct;
• simulations perfectly reproduce physical systems;
• AI outputs will be accurate;
• all defects will immediately be corrected; or
• Quodra will satisfy every specific professional, regulatory or engineering requirement.

Nothing in these Terms excludes warranties or consumer protections that cannot lawfully be excluded.

27. Limitation of Liability#

To the maximum extent permitted by applicable law, Quodra and its officers, contributors, employees and agents will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from or related to the Service, including loss of profits, business opportunities or data, where such exclusion is legally permitted.

To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to the Service will not exceed the greater of:

1. the amount you paid to Quodra for the Service during the 12 months immediately preceding the event giving rise to the claim; or
2. USD $100 if you used only free services.

These limitations do not apply to liability that cannot lawfully be limited or excluded.

Some jurisdictions do not permit certain exclusions or limitations, so portions of this section may not apply to you.

28. Indemnification#

To the extent permitted by law, if you use Quodra on behalf of a business or organization, that organization agrees to defend and indemnify Quodra against third-party claims arising from:

• unlawful User Content;
• infringement caused by content supplied by the organization;
• misuse of the Service; or
• material violation of these Terms,

except to the extent the claim results from Quodra's own unlawful conduct.

This provision does not require an individual consumer to indemnify Quodra where such a requirement would be prohibited by applicable consumer law.

29. Governing Law#

Unless mandatory law applicable to you requires otherwise, these Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law rules.

Subject to mandatory consumer rights and other applicable jurisdictional requirements, disputes concerning these Terms or the Service may be brought before courts of competent jurisdiction in Ghana.

Nothing in these Terms prevents a consumer from exercising rights or remedies that cannot legally be waived in their country of residence.

30. Compliance With Law#

You are responsible for using Quodra in compliance with laws applicable to you and your use of the Service.

This may include laws concerning:

• privacy;
• intellectual property;
• controlled technical information;
• export restrictions;
• scientific or engineering regulation;
• confidentiality;
• education;
• professional standards; and
• research data.

Quodra's availability in a jurisdiction does not mean that every possible use of Quodra is legally permitted there.

31. Changes to These Terms#

We may update these Terms as Quodra evolves.

When we do, we will update the "Last Updated" date.

If a change materially affects your rights or obligations, we will provide additional notice where reasonably appropriate or legally required.

Where renewed agreement is legally or contractually appropriate, we may ask you to accept the revised Terms before continuing to use relevant functionality.

32. Entire Agreement#

These Terms, together with any additional terms expressly applicable to your account or organization, constitute the agreement between you and Quodra concerning the Service.

If an enterprise, educational, institutional or other written agreement conflicts with these Terms, the specific agreement controls to the extent of the conflict.

33. No Waiver#

If we do not immediately enforce a provision of these Terms, that does not waive our right to enforce it later.

34. Severability#

If a provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

35. Assignment#

You may not transfer your obligations under these Terms without our consent where consent is legally required.

We may assign these Terms in connection with a merger, restructuring, acquisition, corporate reorganization or transfer of the Quodra business, subject to applicable law.
